Terms of license agreement

By purchasing the our E-commerce Ui Kit, you accept the following terms:

✅  Rights

1. You are allowed to make necessary modification(s) to our templates to fit your purpose for personal or client projects. 

2. Can be used in any SAAS and Open source projects. 

3. Use the template for a single personal or commercial/client project. (But not allowed to resell as another product)

4. You are not required to indicate our site as an attribute when using the purchased product.

5. We (creators of item) will not be responsible for any outcome that may occur during the course of usage of our resources. But we are happy to support you during the development.

❌ Prohibitions

1. You are NOT allowed to resell, redistribute, license, or sublicense any of our products.

2. Develop another template for redistribution or resale.

3. You are not allowed to claim credit or ownership for any of our products.

4. You are not allowed to publish our products in any marketplace. 

Detailed text:

This End User License Agreement ("Agreement") is a binding legal agreement between you (either an individual or a single entity) and "Ecommerce UI" ("Licensor"). By installing, copying, or otherwise using the Figma template ("Digital Product"), you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Digital Product.

1. Grant of License

Licensor hereby grants you a non-exclusive, non-transferable, limited license to use the Digital Product for your personal or internal business purposes subject to the terms and conditions of this Agreement. This license does not allow you to use the Digital Product on any item or product for resale or to redistribute the Digital Product or make it available to any third party.

2. Ownership

The Digital Product is protected by intellectual property laws and treaties. The Digital Product is licensed, not sold. Licensor or its suppliers own the title, copyright, and other intellectual property rights in the Digital Product.

3. Restrictions

• You may not distribute, sell, rent, lease, lend, or sub-license the Digital Product to any third party.

• You may not modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Digital Product.

• You may not remove or alter any copyright, trademark, or other proprietary notices on the Digital Product.

4. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from Licensor if you fail to comply with any term(s) of this Agreement. Upon termination of the Agreement, you shall cease all use of the Digital Product and destroy all copies, full or partial, of the Digital Product.

5. Disclaimer of Warranties

You expressly acknowledge and agree that use of the Digital Product is at your sole risk. The Digital Product and related documentation are provided "AS IS" and without warranty of any kind and LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

6. Limitation of Liability

In no event shall Licensor be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Digital Product, even if Licensor has been advised of the possibility of such damages.

7. General

This Agreement constitutes the entire agreement between you and Licensor relating to the Digital Product and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Digital Product or any other subject matter covered by this Agreement. If any part of this Agreement is held invalid or unenforceable, the remaining portions will remain in full force and effect.
